Terms of sale

2. Who the services are sold to

The services available online are sold only to businesses and other traders. Purchasing requires a Finnish Business ID or an equivalent business identifier, which is given at the time of ordering. This is not a consumer sale, and consumer protection legislation does not apply. The services are sold in Finland.

3. Prices

Website Review €199 (up to 5 views) or €249 (6–10 views). A walkthrough on a video call as an additional service, €49. Brand Discovery €590.

No value added tax is added to these prices, as Studio Titta is not currently registered for VAT. The prices and terms in force are those shown on the website at the time of ordering.

4. Scope of the services

Website Review. The service comprises a visual and user-experience assessment of one website, to the extent of the number of views ordered.

A view means one individual web page or a clearly separate page template, such as a home page, a service page, a contact page or an article page. On a single-page website, one clearly distinct content section counts as one view. The mobile and desktop versions of the same page count as one view.

The service does not include a technical audit, a security audit, an accessibility audit, a legal review, a detailed search engine optimisation audit, or the writing or proofreading of content, unless otherwise stated in the service description. The service does not include making changes to the website.

Brand Discovery. The service comprises the guided Discovery process and the Brand Book — approximately 20 pages — and Mood Board compiled from it, to the extent defined in the service description. The service includes one round of revisions after delivery; any changes after that are agreed and priced separately.

Brand Discovery does not include the design of a logo or any other original graphic mark, unless separately agreed. Logo ideas may appear on the Mood Board, but they do not constitute logo design. Any marks appearing on the Mood Board are third-party material and may not be taken into use.

5. Ordering and payment

Orders are placed on the website and paid in advance through the Stripe payment service. Studio Titta neither handles nor stores payment card details. A receipt is delivered by email. The contract is formed when payment has been confirmed.

6. Delivery

Website Review is delivered as a written assessment (PDF) within 5–10 working days of the client having supplied complete background information. The Brand Book and Mood Board resulting from Brand Discovery are delivered within 7 working days of the client having submitted the completed Discovery form and any inspiration images.

If delivery is delayed for a reason attributable to Studio Titta, the client will be informed without delay and a new delivery date agreed together.

7. The client's contribution

Delivering the service requires the client to supply the requested background information and materials and, where necessary, access to the website being assessed. The client is responsible for holding the rights to the materials they supply.

If materials are not supplied within six (6) months of the order, the order lapses and no refund is made. This is an exception to the refund rule in section 9. Where possible, Studio Titta will send a reminder before an order lapses.

8. Access link

A purchaser of Brand Discovery receives a personal access link by email. The link is valid for 30 days and is personal to the purchaser. The link stops working once the form has been submitted. A replacement for an expired link is available on request by email at no charge.

Incomplete answers are saved in the client's own browser, so the form must be completed on the same device and browser. Studio Titta is not responsible for the loss of answers if the client changes device or clears their browser data.

9. Cancellation and refunds

Before work has begun, an order may be cancelled and the payment is refunded in full. After work has begun, a reasonable share corresponding to the work done by that point is deducted from any refund. If the service has been substantially delivered, no refund is made.

Website Review is considered substantially delivered once the assessment has been delivered to the client. Brand Discovery is considered substantially delivered once the Brand Book or the Mood Board has been delivered to the client for the first time.

If the website to be assessed turns out to be larger than the tier ordered, Studio Titta will inform the client before starting the work. The client may then either top up the payment or cancel the order and receive a full refund.

10. Credit towards a website project

If the client enters into an agreement with Studio Titta for a website project within six (6) months of the delivery of the service's result, the price of the service is credited against the Evolving Web set-up fee.

The credit applies to at most one previously purchased service and is capped at the amount of the set-up fee. The credit is not paid in cash, cannot be applied to monthly fees, and cannot be transferred to another business. The credit requires a written agreement for the project. If an order lapses under section 7, no right to a credit arises.

11. Rights to the results

The client receives the right to use the Brand Book and the brand definitions it contains in the operations of their own business: in marketing, on their website, on social media, in presentations, in print, and as a brief for designers and partners. The right of use is unlimited in time and territory and applies to the client's own business.

The client may pass the material to their own service providers — such as an advertising agency, a web designer or a printer — for the purpose of carrying out the client's assignment. The material may not be sold, sub-licensed, or distributed as a template or model. Copyright in the material remains with Studio Titta.

The Mood Board is a working tool. It may contain third-party photographs and imagery that are not licensed for publication. The Mood Board may be used internally within the business and to guide design work, but it may not be published as it stands or used as marketing material.

The typefaces recommended in the Brand Book, and any stock images, require the client's own licence. Studio Titta will identify the licences needed but does not acquire them on the client's behalf.

12. Rights to the website and its materials

The content, texts and images of Studio Titta's website, together with the questions and structure of the Brand Discovery questionnaire, are the property of Studio Titta. Copying, publishing or commercially exploiting them without permission is prohibited.

This does not limit the client's right under section 11 to use the material delivered to them.

13. Use as a reference

Studio Titta may mention the client relationship as a reference. The client's materials or results are published as references only with the client's separate consent.

14. Confidentiality and personal data

Studio Titta treats information provided by the client as confidential and uses it only to deliver the service ordered. The processing of personal data is described in the privacy policy.

15. Defects and complaints

The client must report any material defect they identify in the service within 14 days of delivery. Studio Titta has, in the first instance, the right to remedy a defect or shortcoming within a reasonable time. If the defect is not remedied within a reasonable time, the client is entitled to a price reduction corresponding to the defect.

A subjective visual or strategic view expressed in the service does not in itself constitute a defect, provided the service has been delivered in accordance with the agreed service description.

16. Limitation of liability

Website Review is a professional opinion and contains recommendations. It is not a guarantee of any development in sales, visitor numbers or search engine visibility. Studio Titta's liability is in all cases limited to the price paid for the service in question. Studio Titta is not liable for indirect damage.

The limitation of liability does not apply to damage caused intentionally or through gross negligence, nor to liability that cannot be limited under the law.

17. Force majeure and the nature of the business

Studio Titta is not liable for delay caused by force majeure, such as an order of a public authority, a telecommunications or service provider failure, or any other event beyond its control.

Studio Titta is a one-person business. If delivery is prevented or materially delayed, for example because of illness, the client will be informed without delay and a new delivery date agreed together. If the delay is material, the client is entitled to cancel the order in respect of the undelivered part and to receive a refund of the payment corresponding to that part.

18. Applicable law

This agreement is governed by Finnish law. Any disagreements are to be resolved by negotiation. Failing that, disputes are settled in the District Court of Helsinki.

19. Validity of these terms

An order is governed by the terms in force at the time of ordering. The version date of the terms is recorded with the order details.

20. Language

These terms are available in Finnish and in English. In the event of any discrepancy between the two versions, the Finnish version prevails.
